Governance
Introduction
The Regenerate Outcomes Farming Project (Verra Project ID 4453) has been established to provide farms in Great Britain with soil health mentoring and greenhouse gas Monitoring Reporting and Verification (MRV) services.
Farms in each region of Great Britain are serviced by a limited company: Hadrian Regen Ag Co (formerly Hadrian Bond Company Ltd.); Wessex Regen Ag Co; Cheviot Regen Ag Co; Anglian Regen Ag Co; and Mercia Regen Ag Co. Together these are the Special Purpose Companies (SPCs) through which the project services are delivered.
Regenerate Outcomes (RO), acting as Project Proponent under the Verified Carbon Standard (VCS), has part or full ownership of each of the SPCs, as well as full management responsibility for each of the SPCs.
Organisation and governance
RO is governed by a board of directors. This board oversees the delivery of the project and ensures compliance with the VCS and national nature markets frameworks (e.g. BSI Flex 701 and 703). The board sets internal standards for fair employment and good customer service to British farms.
RO is a privately owned company that operates in the agricultural sector of Great Britain.
As at March 2025, there are ten employees and five board members. The company website provides the contact details of public facing employees.
Each SPC is tasked with recruiting farms into the project and then procuring central project services from RO.
RO has established a Verra registry account.
RO contracts centrally with key project suppliers including:
Agricarbon – soil carbon surveys and laboratory analysis
Understanding Ag – farm mentoring
Aster Global – independent project validation and verification
Verra – provision of the soil carbon standard and underlying methodologies
Upon verification events, RO distributes proceeds of VCU sales to SPCs and participating farms according to the terms set in the relevant contracts (including the Mentoring and Outcomes Agreement, entered into between the SPC and the farm).
Board meetings and financial accounts
RO holds monthly board meetings and undergoes annual financial audits.
The SPCs hold quarterly or half yearly board meetings and undergo annual financial audits. These board meetings cover multiple agenda items including farm onboarding progress, ongoing compliance with VCS, employee management, project design iterations, and supplier partnerships.
RO and the SPCs report monthly Management Accounts to the RO board.
The boards of all SPCs (except Mercia) have two board directors from RO and two directors from a third party institutional investor.
Mercia Regen Ag Co Ltd is 100% owned by RO and has two directors from RO on the board.
Each company operates to UK corporate standards and provides audited accounts and reports to Companies House as required.
Employment policies
RO has a set of internal employment policies which ensure good governance standards and protections for employees. These policies include, but are not limited to:
Anti Money Laundering
Anti Corruption and Bribery
Anti Bullying and Harassment
Fair Pay and Equal Opportunities
Grievance Redress
Health and Safety
Performance Monitoring
Conflicts of interest amongst the RO employees and project stakeholders are monitored as part of RO’s Risk Management protocols.
Communication with project stakeholders
RO carries out regular communication with member farms as an integral part of customer services.
RO carries out regular communication with key suppliers delivering the project services.
RO carries out regular communication with the Validation and Verification Body (VVB) and Verra to ensure compliance with the VCS and specifically the VM0042 Methodology for Improved Agricultural Land Management. The RO executive management team is responsible for monitoring any changes to the VCS or VM0042 which may impact the project.
The project undergoes regular improvements and iterations following feedback from the stakeholders and RO is responsible for updating the Project Design Document (PDD) according to the rules set by Verra.
Community
The Regenerate Outcomes Farming Project is designed to provide new management support networks and additional revenue to British farmers. Farming livelihoods are at risk from uncertain subsidy reforms, extreme weather events, increasing production costs, and other social and economic factors.
The project aims to support farmers to produce nutritious food whilst delivering a number of positive and verified environmental outcomes for the benefit of wider society. RO is responsible for reporting to the VVB that the project causes No Net Harm to participants and local communities.
